1. Scope of Work

The Contractor agrees to supply goods and/or services as detailed in the approved tender documents and agreed upon in writing by PATMG. Any modifications to the scope must be mutually agreed in writing.

2. Contract Price and Payment

• The total contract price shall be as stated in the purchase order or contract award.
• Payments shall be made within five (5) business days upon submission of valid invoices and acceptance of goods/services.
• Payments will be made via bank wire transfer to the Contractor's designated bank account.
• Partial payments may be made for milestones or partial deliveries as agreed.

3. Delivery & Performance

The Contractor shall deliver all goods and perform services within the agreed timeframe, not exceeding 360 days from contract signing unless otherwise stipulated. Delays must be communicated promptly with justification.

4. Warranties & Liability

The Contractor warrants that all goods supplied are free from defects in material and workmanship and conform to contract specifications. The Contractor is liable for any damages arising from non-compliance.

5. Termination

PATMG reserves the right to terminate this contract with written notice if the Contractor fails to meet obligations or breaches any terms. Upon termination, all payments due shall be settled for work satisfactorily completed.

6. Confidentiality

Both parties agree to maintain confidentiality of all sensitive information exchanged during the contract period and thereafter.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where PATMG is headquartered.

8. Acceptance

By signing or electronically accepting this contract, the Contractor acknowledges understanding and agreement to all terms and conditions stated herein.
